POSITION SUMMARY:

Legal & Compliance Coordinator is responsible for assisting with the day-to-day legal, governance, and compliance affairs of the company, in coordination with the General Counsel and members of the legal and compliance department.  The ideal candidate will be a proactive steward of the business through participation in risk management, compliance, asset protection, contract management, and departmental business improvement processes and projects.  In all functions, candidate will demonstrate attention to detail and strong analytical skills while gathering, compiling, and verifying internal and external information for use reports, presentations or forms, and office systems, to support well-informed decision-making for members of the legal department and company’s management.   This is a hybrid position working from our Westfield, Indiana office and from home.

The role reports to the Vice President, General Counsel & Corporate Secretary.

 

ESSENTIAL FUNCTIONS:

Governance:  Supports corporate governance function by drafting, organizing, and maintaining corporate and board records, and managing company’s registration, certification, and/or admission to transact business in various states (as necessary and appropriate). Manages all filing and reporting deadlines, and maintenance, of intellectual property registrations. Litigation: Researches and prepares legal documents and notices in response to subpoenas, interrogatories, complaints, depositions, records requests, and briefs. Manages logs and files related to various aspects of litigation. Responds to attorneys and all levels of management on case status. Contract Management: Acts as an administrator of contract/document management database and associated files and manages the lifecycle of all contracts, including contract expirations, renewals, extensions, terminations, and amendments and addendums. Assists with processing and routing all contracts through the Legal Department and following up with attorneys as necessary, as well as drafting or generating certain template agreements. Acts as a liaison between departments, vendors, and shareholders by assisting in obtaining signatures, amending certain contracts and addendums, and assisting in resolving any problems with contracts. Responsible for maintaining and archiving all historical contract data and providing reports upon request. Policy:  Assists with the development, implementation, and facilitation of various internal policies and processes to drive risk management and ensure compliance with various laws.  Coordinates with leaders and enabling functions to adapt to business changes that impact policies and processes.  Creditor’s Rights: Works with internal finance and commercial teams, as well as outside counsel and collections firms, to track, advance, and facilitate company’s interests in collecting outstanding receivables. This includes collecting supporting information and documents, reviewing and updating internal docket, conducting UCC searches, and collaborating with internal and external counsel. May also include, from time to time, negotiating resolution and/or directing outside counsel on litigation. Administrative: Provides administrative support by conducting research, drafting and proof-reading communications and legal documents, meeting planning, preparing reports and presentations, reviewing and processing invoices, organizing and maintaining legal files, calendar management, including scheduling meetings and travel arrangements for attorneys, meeting planning, and various administrative tasks for the Legal Department. Assists General Counsel with fiscal operations and management of the Legal Department. Willing to provide similar duties to other departments when needed or requested. Responding to e-mails and phone calls in a timely manner. Other duties as assigned.

 

EDUCATION/EXPERIENCE:

At least five (5) years previous experience working in a legal setting, preferably corporate. Experience building relationships with internal stakeholders and vendors to ensure effective collaboration, support and service is a must. Excellent communication skills and ability to interpret policies and procedures. Previous experience with contract management software a plus.

 

KNOWLEDGE/SKILLS/ABILITIES:

Demonstrated proficiency in Microsoft Office (Excel, Word, PowerPoint) Ability to maintain a high degree of confidentiality and sensitivity to company’s legal and compliance matters. Strong analytical, problem solving, and project management skills. Understanding or ability to learn corporate governance practices, basic commercial contract elements and terminology, and creditors rights. Excellent communication, presentation, collaboration, and interpersonal skills. Must be able to present concepts and recommendations to all levels of management. Demonstrated ability to establish workload priorities and balance diverse tasks. Must have strong attention to detail, with ability to enter data quickly and accurately.  Outstanding organization skills. Expertise in managing multiple projects with competing priorities and multiple stakeholders is essential for this role.  Willingness to learn new technologies.

 

PHYSICAL DEMANDS:

Ability to lift up to 25 lbs. Ability to work required hours. Must have valid driver’s license and meet MVR Requirements.
