Role Purpose:
The Director – Legal is responsible for providing comprehensive commercial and corporate legal support with a strong emphasis on maintaining consistency of approach and style in our International Markets.
The role holder will ensure corporate governance and compliance, oversee the organization's corporate activities such as forming new legal entities, acquisitions, and closures. Additionally, review litigation cases and manage the organization's intellectual property portfolio.
He/She will assist the SVP - Legal & Compliance in all legal matters by providing the business proficient and skillful legal services, guidance, and representation for all its legal necessities.
Role Details – Key Responsibilities and Accountabilities:
Commercial and Corporate
Draft and negotiate complex and high risk multi-jurisdictional commercial legal documentations Review drafted contracts, cross-jurisdictional agreements, notices, amendments, MOUs, LOIs and other legal documentations as required in a timely manner and ensure compliance with internal standards and applicable laws Advise internal stakeholders concerning business transactions and strategies in various subject matters including real estate, marketing, licensing, merchandising, employment, intellectual property, information technology and data privacy, online marketplace, logistics and supply chain, mergers and acquisitions Manage and coordinate dispute resolution matters including litigation and arbitration with outside counsel and advising internal stakeholders on claim liabilities, advisability of prosecuting, settling or defending lawsuits Instruct and manage external legal counsel and negotiate their engagement Identify, report, monitor and mitigate legal risks Corporate housekeeping for the organization’s legal entities and its subsidiaries in the country Monitor law changes and regulations of the relevant jurisdictions and legal publications and Study new trends related to legal practices and their impact; communicate such developments to the organization Update internal legal policies and process when required; communicate such updates to the organization Manage, coordinate, and review over in-house counsels in respective country
